Among the key decisions were the approval of the proposed dividend payment, the discharge of the Executive Board and Supervisory Board for the 2025 financial year, and changes to the Supervisory Board leadership.

Shareholders approve dividend and board appointments

The approved dividend amounts to 0.33 euros per share. Shareholders also voted in favour of the proposed appointments to the Supervisory Board of Deutsche Lufthansa AG.

Newly elected members include Dr. Johannes Teyssen, former Chairman of the Executive Board and CEO of E.ON SE, and Wolfgang Nickl, member of the Executive Board and CFO of Bayer AG. Karl Gernandt, Chairman of the Board of Directors of Kühne Holding AG, was re-elected to the Supervisory Board.

All resolutions received strong backing from shareholders, according to the company.

Lufthansa bids farewell to Karl-Ludwig Kley

A central moment of the meeting was the farewell to Dr. Karl-Ludwig Kley, who had served on Lufthansa’s Supervisory Board since 2013 and as Chairman since 2017.

During his speech, Lufthansa Group CEO Carsten Spohr thanked Kley for his leadership during years marked by transformation and crisis management.

“You have shaped our transformation. Our shared path to success, with its highs, lows, achievements, and crises,” said Spohr. “And especially during crises, you have always been a unique source of support for me personally.”

According to Lufthansa, shareholders gave Kley a standing ovation as he stepped down from the Supervisory Board.

Johannes Teyssen elected new Supervisory Board Chairman

Following the conclusion of the Annual General Meeting, the newly constituted Supervisory Board elected Dr. Johannes Teyssen as its new Chairman.

Teyssen previously led German energy company E.ON SE as Chairman of the Executive Board and CEO and is considered one of Germany’s most experienced corporate executives.
